1. Project Overview
CRCLB is the on-chain tokenized version of the stock of the US-listed company Circle Internet Group (NYSE code CRCL). It is part of the bStocks tokenized securities system launched by Binance, with the issuer being BTech Holdings Limited, a related entity of the Binance Group, operating on the BNB Smart Chain (BEP20). Each token is backed by a corresponding real stock, allowing holders to trade around the clock and gain economic exposure linked to Circle's stock price. Currently, the overall circulation scale is not large, with a market value in the small to medium range, making it one of the newer assets in the tokenized US stock sector.
2. Project Introduction
Underlying Asset: Circle. Circle is best known as the issuer of the US dollar stablecoin USDC. USDC is one of the largest compliant US dollar stablecoins in the world and is widely used for exchange settlement, cross-border payments, and on-chain finance. In recent years, Circle's business has clearly expanded beyond stablecoins: the company's financial head has classified the platform into three main pillars, represented by digital assets like USDC, a payment network CPN, and developer infrastructure. Company co-founder Jeremy Allaire serves as CEO and Chairman.
Tokenized Project: bStocks. bStocks launched after receiving approval for its prospectus from the Abu Dhabi Global Market (ADGM) Financial Services Regulatory Authority, with the first batch including Circle, Micron, NVIDIA, SanDisk, and Tesla. Unlike most competitors' "issuer pre-minting fixed tokens" model, bStocks allows users to convert their stocks held on the Binance stock platform into on-chain tokens. CRCLB is one of the first products in this system.
3. Products and Technology
Tokenization Mechanism. CRCLB employs a full collateralization model, where for every token minted, the issuer buys one share of CRCL stock and holds it with a regulated custodian to maintain a 1:1 correspondence. In the custody chain, brokerage services are provided by Nest Trading, and Alpaca Securities in New York is responsible for custody, dividends, and corporate action handling.
Minting and Redemption. Users can convert stocks purchased through Binance's brokerage into bStocks and vice versa at a 1:1 ratio without incurring conversion fees. This two-way channel also serves as the basis for price anchoring: when the on-chain price deviates from the real stock price, qualified participants can arbitrage by converting, pulling the price back.
On-Chain Use. Eligible users can trade bStocks 24/7, can store tokens on Binance, or transfer them to a wallet compatible with BNB Chain for self-custody, and use them in supported DeFi applications, such as as collateral in lending protocols.
Core Products of the Underlying Company. In addition to USDC, Circle's latest important product is the self-developed public chain Arc. Arc is an EVM-compatible Layer-1 public chain, using USDC as the gas fee asset, primarily targeting stablecoin payments, foreign exchange, and tokenized assets. Additionally, Circle's payment network CPN provides cross-border settlement services for financial institutions, with rapid growth in scale.
4. Economic Model
CRCLB does not belong to the native cryptocurrency token economy, and has no pre-mining, team shares, or release curves. Its supply is entirely determined by the number of real shares held in custody: the supply increases when users convert stocks into tokens and decreases when tokens are exchanged back for stocks. Therefore, it has no preset upper limit and no inflation mechanism, only expanding or contracting with market demand.
In terms of price, the token theoretically follows the fluctuations of the CRCL stock price. The minting and redemption channels and arbitrage activities jointly maintain the anchoring; during US stock market close hours, on-chain prices may temporarily deviate due to supply and demand and converge back to the real stock price after the market opens. Regarding dividends, eligible holders can enjoy economic benefits related to the underlying stocks, including dividends where applicable, with specific handling methods subject to the issuer's terms. It is important to note that bStocks are legally classified as "certificates" for specific financial instruments, not the stocks themselves, and holders do not directly own shares of the listed company, thus typically lacking voting rights and other shareholder rights.
5. Team and Investors
Issuer. CRCLB is issued by BTech Holdings Limited. This entity is a special purpose vehicle (SPV) registered in ADGM and is part of the Binance Group. Binance co-CEO Richard Teng stated at the launch that users want to access traditional markets more flexibly.
Management of the Underlying Company. Circle was co-founded by Jeremy Allaire, who also serves as CEO and Chairman, with Jeremy Fox-Geen as CFO. The company is listed on the NYSE, and its shareholder structure mainly comprises public market investors.
6. Roadmap
Issuer Level. Tokens corresponding to SpaceX are already planned and will be opened for trading after its NASDAQ listing, with more bStocks assets to be added gradually. As the assets expand and DeFi integration deepens, bStocks is expected to form a more complete on-chain US stock matrix.
Underlying Company Level. Circle's recent milestones have been relatively dense: the Arc public mainnet was launched on September 16, 2026, after undergoing private mainnet and public testnet phases; 11 institutions, including BlackRock, DTCC, Visa, and Mastercard, have joined as founding validators. BlackRock is expected to deploy the BUIDL fund to Arc, and DTCC plans to advance the tokenization of its custody assets in the second half of 2027. Additionally, Circle plans to begin commercializing the CPN network in the second half of this year.
7. Risks and Opportunities
Risks:
Custody and Counterparty Risk: The value of the tokens relies on the performance of the issuer, broker, and custodian; any issue in any link of the chain may affect the payouts.
Regulatory and Geographic Restrictions: bStocks are only offered through prospectuses approved by ADGM and are not publicly issued in other jurisdictions; US users are typically unable to participate, and compliance requirements in different regions may change.
Rights Differences: Holding tokens does not equate to holding stocks, and shareholder rights are incomplete.
De-anchoring and Liquidity Risks: During market closures and when on-chain liquidity is thin, prices may deviate from real stock prices.
Underlying Company Risks: Circle's revenue heavily depends on reserve interest; management has indicated risks regarding a soft digital asset market, declining trading activity, and decreasing reserve income due to interest rate cuts; progress on US market structure legislation also carries uncertainties.
Opportunities:
24/7 Global Accessibility: Trading 24/7 lowers the threshold for non-US users to access US stocks.
DeFi Composability: Tokens can be used for collateral, lending, and other on-chain scenarios.
More Transparent Conversion Mechanism: Users can convert between stocks and tokens at a 1:1 ratio, with a clear anchoring logic.
Distinct Narrative for Assets: Circle is positioned at the intersection of stablecoins, payments, and institutional-grade public chains, with the Arc mainnet launch bringing new business highlights.
8. Summary
CRCLB is the Circle tokenized stock under the Binance bStocks system, backed by 1:1 real stock custody, providing 24/7 trading and DeFi usage scenarios on the BNB Chain, and allowing users to autonomously convert between stocks and tokens. Its core value lies in bringing the equity exposure of a leading stablecoin company on-chain; its main constraints stem from the custody chain, geographic regulations, and the legal attribute of being "certificates rather than stocks." For followers, it is worth continuously tracking variables including: the expansion and liquidity of the bStocks system, the tracking quality of on-chain prices relative to real stocks, and Circle's business progress in USDC, CPN, and Arc.
