Tokenization, AI, Cybersecurity: What will the SEC focus on in the next fiscal year?

Tokenized securities and artificial intelligence are entering traditional financial businesses, and regulators are also beginning to incorporate the risks posed by these technologies into clearer inspection arrangements.

On October 23, the U.S. Securities and Exchange Commission (SEC) announced its inspection priorities for the fiscal year 2027, including risks related to tokenized market infrastructure, cybersecurity, customer information protection, and emerging technologies that may affect market operations and investor protection.

This arrangement, formulated by the SEC inspection department, applies to market participants such as investment advisers, investment companies, broker-dealers, and clearing agencies within its regulatory purview. The fiscal year 2027 began on October 1.

This is not a new ban targeting a particular token or a single cryptocurrency platform, but rather an annual arrangement for regulators to assess the risks posed by the evolving financial products and market structures. Tokenization enters inspection scope, focus not just on the technology itself

The SEC noted in the document that as market infrastructure continues to change, the risks brought about by tokenization and related developments deserve close attention.

Tokenization of securities allows traditional securities to be represented in the form of blockchain tokens, potentially changing the processes of asset registration, trading, and settlement. However, under these new mechanisms, institutions still need to address asset ownership, transaction records, system reliability, custody arrangements, and related legal obligations.

For regulated entities, adopting blockchain does not automatically exempt them from existing securities regulatory responsibilities. If tokenized products involve securities issuance, trading, or investment management, institutions must still fulfill compliance obligations according to their business and applicable regulations.

The SEC's inclusion of relevant risks in its inspection focus indicates that tokenization is no longer just a technological direction discussed by the innovation sector; it will also become a matter for inspectors to consider when evaluating the risk management capabilities of market participants.

AI and cybersecurity also receive attention

In addition to tokenization, the SEC has included superintelligence and other advanced technologies in its focus on emerging technologies, examining their impact on market operations, compliance, fraud prevention, and investor protection.

AI has gradually entered investment research, trading processes, customer service, and risk management. The application of technology can enhance efficiency, but it may also introduce model errors, data breaches, automated decision-making mistakes, and new types of fraud risks.

Therefore, regulatory focus is not only on whether institutions adopt AI but also on how related systems are managed, how risks are identified, and whether appropriate control mechanisms are in place when problems arise.

Cybersecurity and customer information protection have also been emphasized. For financial institutions that rely on digital systems for their operations, system interruptions, third-party vendor risks, and unauthorized access to customer data can all impact business continuity and market trust.

This document does not equate to a comprehensive regulatory shift

It is important to note that the SEC's annual inspection priorities do not represent a complete enforcement checklist, nor do they imply that all tokenized projects or AI applications will be subjected to the same level of scrutiny. The document clearly states that the scope of inspections will also be adjusted based on market events, investor concerns, and developments in new technologies.

In addition to technological risks, the SEC will also focus on the fiduciary responsibilities of investment advisers, conflicts of interest, complex and less liquid investment products, private equity funds, and private credit, as well as the trading behavior of broker-dealers, supervisory mechanisms, and anti-money laundering compliance.

This indicates that regulators are not limiting their attention to the cryptocurrency industry but are simultaneously examining the risks that may arise at the intersection of traditional finance and emerging technologies.

For companies related to tokenization and AI, the focus moving forward should not only be on whether the technology can be implemented but also on whether their business structure, risk control, and compliance processes can withstand scrutiny. As new technologies gradually enter the regulated financial system, the ability to innovate and the ability to comply will become increasingly difficult to separate.
